Terms & Conditions

These Terms & Conditions govern the services provided by Woods Media Promotions (ABN: 25 210 531 049) ("WMP", "we", "our", or "us"). By engaging our services, accepting a quote, paying an invoice, or instructing us to commence work, you agree to these Terms & Conditions.

1. Our Services

Woods Media Promotions provides digital marketing and creative services including, but not limited to:

  • Website Design
  • Website Redesign
  • Website Maintenance
  • Search Engine Optimisation (SEO)
  • Branding
  • Logo Design
  • Graphic Design
  • Social Media Management
  • Social Media Content Creation

The exact scope of work for each project will be outlined within your proposal, quotation, invoice or written agreement.

2. Quotes & Scope of Work

All quotes are based on the information available at the time they are prepared.

Unless otherwise stated:

  • Quotes remain valid for 30 days.
  • Work outside the agreed scope may incur additional charges.
  • Any changes to the original project brief may require a revised quotation.
  • Additional work will only proceed once approved by the client.

Where work is billed hourly, the current hourly rate is $60 AUD unless otherwise agreed.

3. Payment Terms

Unless otherwise agreed in writing:

  • A 50% deposit is required before fixed-price projects commence.
  • The remaining balance is due once the project has been completed and approved, prior to launch or final delivery.
  • Ongoing services are invoiced according to the agreed schedule.
  • All invoices are payable within 30 days of the invoice date.

Late payments may incur a late payment fee of 5% of the outstanding balance for every 14-day period the invoice remains overdue. This fee is applied at the discretion of Woods Media Promotions and is not guaranteed to be charged in every instance.

Ownership of completed work remains with Woods Media Promotions until all outstanding invoices relating to the project have been paid in full.

4. Deposits

Project deposits secure time within our production schedule and allow work to commence.

Once work has begun, deposits become non-refundable, except where required by Australian Consumer Law.

If a project is cancelled before work has commenced, any refund will be considered at our discretion.

5. Client Responsibilities

To help ensure projects are delivered efficiently, clients agree to:

  • Provide requested content, images, branding assets and information within reasonable timeframes.
  • Review work and provide feedback promptly.
  • Ensure all supplied content is accurate and lawful.
  • Hold appropriate rights or licences for any content supplied to Woods Media Promotions.
  • Communicate openly regarding requested changes or concerns.

Delays in receiving required information may affect project timelines.

6. Project Timelines

Estimated completion dates are provided as a guide only.

Delivery timeframes may vary due to:

  • Client response times
  • Changes to project scope
  • Third-party service delays
  • Technical issues beyond our control

While every effort is made to meet estimated deadlines, specific completion dates cannot be guaranteed unless agreed in writing.

7. Client Approval & Final Sign-Off

Throughout the project, clients may be asked to review and approve completed work.

Written approval, including approval via email, constitutes acceptance of the work completed to that point.

Final written approval of a completed project confirms acceptance of the deliverables and triggers the obligation for final payment.

Any changes requested after final approval may be treated as new work and billed accordingly.

8. Revisions

Reasonable revisions required to achieve the originally agreed project scope are included unless otherwise specified.

Revision requests that:

  • substantially alter previously approved work,
  • introduce new functionality,
  • expand the agreed scope,
  • or require significant additional development,

may be quoted separately or billed at our current hourly rate.

9. Project Delays & Inactive Projects

If a client becomes unresponsive for more than 45 consecutive days, Woods Media Promotions reserves the right to place the project on hold.

Projects remaining inactive for an extended period may be considered abandoned.

Should an abandoned project later resume, additional fees may apply to account for scheduling, redevelopment or updated project requirements.

10. Website Hosting

Where hosting is arranged through Woods Media Promotions:

  • Hosting is provided through reputable third-party providers.
  • Hosting fees are charged at the provider's standard pricing without additional profit added by Woods Media Promotions.
  • Hosting is billed annually unless otherwise agreed.
  • Hosting renews automatically unless cancelled.

While we assist with setup and management where appropriate, the hosting provider remains responsible for:

  • server infrastructure,
  • uptime,
  • outages,
  • platform updates,
  • pricing changes,
  • and overall hosting performance.

Failure to pay hosting renewal invoices may result in suspension of hosting services by the provider.

11. Domain Names

Clients retain ownership of their domain names.

Where requested, Woods Media Promotions may assist with registering or configuring domains on the client's behalf.

Domain registrations are purchased directly by the client wherever possible.

If Woods Media Promotions assists with domain management, ownership remains with the client.

12. Website Care & Security

Following project completion, clients are responsible for maintaining:

  • login credentials,
  • domain registrations,
  • third-party accounts,
  • and any services not managed by Woods Media Promotions.

Unless ongoing website management has been agreed, Woods Media Promotions is not responsible for issues arising from:

  • client modifications,
  • unauthorised third-party changes,
  • expired services,
  • forgotten login credentials,
  • or external platform updates.

Where genuine faults exist due to our own work, we will make reasonable efforts to correct them.

13. Third-Party Platforms

Many projects rely on third-party platforms including, but not limited to:

  • Wix
  • Wix Studio
  • LandingSite
  • Framer
  • Google services
  • Other software providers

The availability, pricing, functionality and ongoing operation of these services are controlled by their respective providers.

Woods Media Promotions cannot guarantee continued availability of any third-party platform or service.

14. Search Engine Optimisation (SEO)

SEO is an ongoing process.

While Woods Media Promotions follows recognised best practices and builds websites with SEO in mind, we do not guarantee:

  • specific keyword rankings,
  • increased website traffic,
  • lead generation,
  • sales,
  • or business outcomes.

Where ongoing SEO refreshes or optimisation services are included, these will be outlined within your proposal or ongoing service agreement.

Ownership of Google Search Console, Google Analytics and Google Business Profile accounts always remains with the client.

15. Social Media Services

Where Woods Media Promotions provides social media management or content creation:

  • Posting schedules will be agreed with the client.
  • Content approval requirements will be determined prior to publishing.
  • Clients remain responsible for ensuring information published is accurate.
  • Login credentials must be supplied where required.

Performance of social media content cannot be guaranteed due to factors outside our control.

16. AI-Assisted Tools

To improve efficiency and deliver high-quality results, Woods Media Promotions may utilise industry-standard AI-assisted tools during aspects of the design, development and creative process.

These tools may assist with:

  • copywriting,
  • coding,
  • image enhancement,
  • brainstorming,
  • SEO,
  • and workflow optimisation.

All deliverables are reviewed, refined and approved by a human before being provided to clients.

17. Intellectual Property

Ownership of final project deliverables transfers to the client only after full payment has been received.

Until payment has been made in full, all intellectual property remains the property of Woods Media Promotions.

Any templates, frameworks, systems or reusable assets developed by Woods Media Promotions remain our intellectual property.

18. Portfolio Rights

Unless otherwise agreed in writing, Woods Media Promotions reserves the right to display completed work within:

  • our website,
  • portfolio,
  • marketing materials,
  • presentations,
  • and social media channels.

Clients requiring confidentiality should notify us before project commencement.

19. Confidentiality

Both parties agree to treat confidential business information with care.

Sensitive information, login credentials and business documentation supplied during a project will not be shared with third parties unless:

  • authorised by the client,
  • required by law,
  • or necessary to complete the agreed services.

20. Limitation of Liability

Woods Media Promotions provides its services with reasonable care and skill.

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental or consequential losses arising from the use of our services.
  • We are not responsible for losses resulting from third-party platforms, hosting providers, software providers or external services.
  • Our total liability relating to any claim is limited to the amount paid by the client for the specific service giving rise to the claim.

Nothing within these Terms excludes any rights available under Australian Consumer Law.

21. Force Majeure

Woods Media Promotions will not be liable for delays or failure to perform obligations where such delays arise due to events beyond our reasonable control, including but not limited to:

  • natural disasters,
  • internet outages,
  • cyber incidents,
  • government actions,
  • illness,
  • supplier failures,
  • or other unforeseen events.

22. Dispute Resolution

If a dispute arises, both parties agree to first attempt to resolve the matter through direct communication and good-faith negotiation.

If a resolution cannot be reached, either party may pursue any rights available under applicable Australian law.

23. Governing Law

These Terms & Conditions are governed by the laws of Victoria, Australia.

Any legal proceedings relating to these Terms shall be conducted within the appropriate courts of Victoria unless otherwise required by law.
